Subject to payment of applicable license fees and compliance with the terms and conditions herein, BarrerSoftware, LLC ("Licensor") grants to the purchaser ("Licensee") a non-exclusive, non-transferable, non-sublicensable license to install and use the software products identified in the purchase order ("Licensed Software").

The Licensed Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Licensed Software, including without limitation all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein. No rights are granted to Licensee other than as expressly set forth herein.

Fees: Licensee shall pay all fees as specified in the purchase order or invoice. Fees are non-refundable except as provided in the refund policy below.
Payment Due: Payment is due within 30 days of invoice date unless otherwise specified.
Late Payment: Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
Taxes: Fees are exclusive of all taxes. Licensee is responsible for all sales, use, and other taxes except those based on Licensor's income.
Licensor offers a 30-day money-back guarantee from the date of initial purchase. Refund requests must be submitted in writing to sales@barrersoftware.com. Upon approval, Licensee must immediately cease use and delete all copies of the Licensed Software.

Termination for Cause: Licensor may terminate this license immediately upon written notice if Licensee:
Effect of Termination: Upon termination, Licensee must:
Licensor warrants that for a period of ninety (90) days from the date of initial delivery ("Warranty Period"), the Licensed Software will substantially conform to its published documentation when used in accordance with such documentation.
Remedy: Licensee's sole and exclusive remedy for breach of this warranty shall be, at Licensor's option, either: (a) correction of defects; (b) replacement of defective Licensed Software; or (c) refund of fees paid.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE LICENSED SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT.
LICENSOR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS LICENSE SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY LICENSEE TO LICENSOR DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Licensor shall defend, indemnify, and hold harmless Licensee against third-party claims alleging that the Licensed Software infringes a third party's intellectual property rights, provided Licensee: (a) promptly notifies Licensor of the claim; (b) grants Licensor sole control of defense and settlement; and (c) provides reasonable assistance.
Licensor shall have no obligation for claims arising from: (a) modification of Licensed Software by anyone other than Licensor; (b) combination with non-Licensor products; (c) use not in accordance with documentation; or (d) use after Licensor notifies Licensee of allegedly infringing use.
Licensee is solely responsible for any data processed by or stored in the Licensed Software. Licensee represents and warrants that it has obtained all necessary consents and has authority to process such data. The Licensed Software may collect anonymous usage statistics for product improvement purposes.
Licensee shall comply with all applicable export control laws and regulations. Licensee represents that it is not located in, under the control of, or a national or resident of any country to which software export is prohibited.
This License shall be governed by and construed in accordance with the laws of the jurisdiction in which BarrerSoftware operates, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in that jurisdiction.
If any provision of this License is held invalid or unenforceable, that provision shall be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
This License, together with any purchase order or invoice, constitutes the entire agreement between the parties regarding the Licensed Software and supersedes all prior or contemporaneous understandings, whether written or oral.
Licensor may amend these terms with 60 days notice. Continued use after notice constitutes acceptance. For perpetual licenses purchased before amendment, original terms remain in effect unless Licensee affirmatively accepts new terms.
